Terms of service

Parties
These terms are entered into between you (the "Customer") and either MarketWatch Intel Pte. Ltd. (Singapore) or MarketWatch Intel UK Ltd. (Companies House 12480192), depending on the entity stated in your order form. Together "MarketWatch", "we", "us".
Subscription, billing and renewal
Subscriptions run for the term stated in the order form, defaulting to 12 months. Fees are billed monthly in arrears for Starter, monthly in advance for Growth, and as agreed in the order form for Scale. Renewal is annual unless you give us 30 days' notice in writing before the end of the current term. We do not auto-charge after a pilot — pilots convert only on a signed order form.
Acceptable use
You may not (a) use MarketWatch to violate the terms of any third-party platform we collect signals from, (b) re-sell the Compass output, (c) reverse-engineer our scraping infrastructure, or (d) use the service to harass, defame or attempt to manipulate the businesses we track. We reserve the right to suspend an account that is, in our reasonable view, doing any of these things.
Service levels
Growth and Scale tiers carry a 99.5% monthly uptime commitment with service credits at 5% of monthly fees per percentage point below the threshold, capped at 30%. Starter tier is a best-efforts service. We do not credit downtime caused by upstream sub-processor failures; we will, however, write the customer a candid post-mortem within 30 days.
Liability
Our total aggregate liability under or in connection with these terms is capped at the fees you have paid us in the 12 months preceding the event giving rise to the claim. Neither party is liable for loss of profits, revenue, business or anticipated savings. Nothing in these terms limits liability for fraud, gross negligence, or anything else that cannot lawfully be limited.
Governing law
UK and EU customers: these terms are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
APAC and rest-of-world customers: these terms are governed by the laws of Singapore and the parties submit to the exclusive jurisdiction of the courts of Singapore (or, on either party's election, arbitration under the SIAC Rules with seat Singapore, three arbitrators, English language).
